Terms and Conditions
For Clients:
Eligibility:
Clients must have completed the scope of work with Avyanna before participating in the Reverse Auction. The scope of work must be finalized and agreed upon by the client before the auction begins.
Fee Structure:
Clients will pay Avyanna a fee for the Reverse Auction service, which covers the coordination of the auction, verification of vendor bids, and ensuring transparency and competitiveness. This fee is non-refundable.
Scope of Work:
The scope of work for the Reverse Auction must be clearly defined and agreed upon by the client before the auction begins. Any changes to the scope of work after the auction has started may require additional fees and adjustments to the auction process.
Bid Comparisons:
Avyanna will facilitate the comparison of bids from various vendors to ensure they align with the finalized scope of work and client requirements. While Avyanna strives to ensure pricing accuracy, it is ultimately the client's responsibility to review all bids carefully.
Payment to Vendors:
Clients will pay vendors directly upon selecting the final vendor. Avyanna does not handle payment transactions between clients and vendors. Payments are made only once the client has finalized their decision.
Client’s Responsibility:
Clients are responsible for making the final decision on vendor selection. By participating in the Reverse Auction, clients agree to enter into a direct agreement with the selected vendor.
Cancellation Policy:
If the client cancels or withdraws from the Reverse Auction after the process has begun, the Reverse Auction fee is non-refundable. Any ongoing work related to the project will incur additional fees.
Dispute Resolution:
In the event of a dispute between the client and the selected vendor, Avyanna is not liable for resolving such issues. Clients are advised to handle such matters directly with the vendor.
For Vendors:
Eligibility:
Vendors must meet Avyanna’s standards of quality, pricing, and service to participate in the Reverse Auction. Vendors are required to submit their credentials and services for approval before entering the auction.
Bid Submission:
Vendors are required to submit their best bids based on the finalized scope of work. Bids must include a clear breakdown of costs, materials, and timelines. Vendors should provide transparent pricing.
No Changes to Bids:
Once a bid has been submitted, vendors cannot change or revise the bid without prior consent from Avyanna. Any amendments to the bid after submission may lead to disqualification from the auction.
Vendor Selection:
The client has the final say in vendor selection. Avyanna is not responsible for any dissatisfaction with the vendor chosen. Once selected, the vendor and client will proceed with a direct agreement.
Pricing Transparency:
Vendors must provide clear, honest pricing. Any attempt to manipulate bids or engage in price manipulation will result in disqualification from the auction.
Execution of Agreement:
Vendors must honor the terms of their bid and execute a formal agreement with the client upon selection. Vendors are responsible for fulfilling the terms of this agreement and completing the project as specified.
Payment Terms:
Vendors will receive payment directly from the client after the final agreement. Avyanna does not handle payment transactions between clients and vendors.
Dispute Resolution:
Any disputes between vendors and clients regarding project scope, pricing, or performance must be resolved directly between the parties. Avyanna is not liable for managing or resolving these disputes.
Confidentiality:
Vendors agree to maintain the confidentiality of all client information shared during the Reverse Auction process. Breaching confidentiality may result in removal from the auction and future vendor opportunities.
General Terms for Both Parties:
Liability Disclaimer:
Avyanna’s role in the Reverse Auction is limited to facilitating the process, verifying bids, and ensuring transparency. Avyanna is not liable for any issues that arise between clients and vendors after the auction has concluded.
Amendments:
Avyanna reserves the right to amend, update, or change the terms and conditions of the Reverse Auction process at any time. All parties involved will be notified of significant changes.
Legal Compliance:
Both clients and vendors are required to comply with all applicable laws and regulations related to contracts, services, and payments.
Indemnity:
Clients and vendors agree to indemnify and hold Avyanna harmless from any claims, damages, or liabilities that may arise from their participation in the Reverse Auction or the execution of any contracts related to the project.
